1. Acceptance of Terms
By accessing this website or engaging TechWork Solutions ("we", "us", "our") for any project, you ("client") agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
2. Services Description
We provide website development, web application development, custom software engineering, e-commerce solutions, UI/UX design, and API/backend development services. Exact deliverables, timelines, and scope for any engagement will be defined in a separate written proposal or agreement.
3. Client Responsibilities
Clients agree to provide timely feedback, required content, access credentials, and any third-party accounts necessary to complete the project. Delays in providing these may extend the agreed project timeline.
4. Payment Terms
Project pricing, payment schedule, and milestones will be outlined in your proposal or invoice. Unless otherwise agreed in writing, an upfront deposit is required before work begins, with remaining payments tied to project milestones or delivery.
5. Intellectual Property & Code Ownership
Upon full and final payment, ownership of the custom source code, designs, and other deliverables created specifically for the client's project transfers to the client. Pre-existing tools, frameworks, libraries, or proprietary internal components used to build the project remain the property of their respective owners and are licensed, not sold, to the client.
6. Project Timeline & Delays
Estimated timelines are provided in good faith based on the agreed scope. Timelines may be affected by delays in client feedback, content delivery, or scope changes requested after work has begun.
7. Confidentiality
We treat client project information as confidential and will sign a mutual Non-Disclosure Agreement (NDA) upon request before detailed project discussions begin.
8. Revisions & Change Requests
Each package includes a defined number of revision rounds. Requests beyond the agreed scope or revision limit may be treated as a change request and billed separately.
9. Limitation of Liability
To the maximum extent permitted by law, TechWork Solutions shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or deliverables. Our total liability for any claim shall not exceed the amount paid by the client for the specific project giving rise to the claim.
10. Termination
Either party may terminate an ongoing engagement with written notice as specified in the project agreement. Fees for work completed up to the termination date remain payable.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the competent courts in the client's or our registered place of business, as agreed in the project contract.
12. Changes to These Terms
We may revise these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
